Our attorneys represent clients in the acquisition and disposition of all real estate assets including multi-family housing, office parks, retail complexes, hotels and industrial sites.

We have substantial experience with commercial leasing transactions involving office, industrial, retail, and entertainment focused properties.

Management and Operations

We routinely assist our clients with their property management agreements, design and construction contracts, insurance matters and other general property matters.

Real Estate Funds and Joint Ventures

We represent clients in the formation and management of various types of real estate funds and joint ventures. The real estate funds transactions have involved real estate private equity funds, structured as both limited partnerships and REITs, categorized as value-added funds, property-specific funds, and mezzanine loan funds. Our joint venture work has ranged from structuring and negotiating terms between different parties within one specific limited liability company to complex contractual agreements among private parties and sovereign entities.

Real Estate Finance

We represent lenders and borrowers in a wide variety of real estate financing matters. Our attorneys have handled structuring, negotiating, and closing a diverse range of debt and equity financing transactions involving senior, subordinate, and mezzanine debt, preferred equity, participating and convertible loans, “CMBS” conduit loans, and construction loans. We represent lenders, borrowers, and investors in workout matters across, from straightforward loan modifications to exotic multi-party capital stack restructures.

Development, Land Use and Environmental Matters

We represent public agencies as well as private developers in a variety of land use and environmental matters. We have experience managing and resolving complex land use and environmental issues involving a variety of state, local and federal agencies. We have assisted our clients with successfully obtaining entitlements for a variety of development projects.

Real Estate Department

• Represented privately held real estate development firm in the acquisition of multiple multifamily apartment complexes, totaling over 5,000 units and located in seven different states, together with the negotiation and procurement of corresponding financing.
• Represented one of the largest hospitality REITs in the country from its inception through the acquisition, financing and management of a portfolio of hotel assets valued over $1 Billion.
• Represented a large national bank in multi-property/multi-state real property secured financing on office and industrial properties in California, Texas, Colorado and Arizona.
• Represented a national REIT in the $96.5 Million sale of a 2,215 unit apartment portfolio.
• Represented a shopping center developer in connection with lease of a 61,000 square foot property to a national big box retailer.
• Represented an institutional real estate fund in making a large mezzanine loan on a hotel/ condominium project in New York City.
• Represented a REIT borrower in a large CMBS financing secured by an office building in Culver City, California.
• Represented a sovereign investment company in connection with its investment and ownership of the largest privately funded mixed use development in U.S. history including all casino and gaming related corporate structuring and licensing (domestic and international) and the negotiation of management and development agreements for each of the hotel and casino components.
• Represented seller in connection with the sale of the iconic residential property for a record-setting $100 Million price.
• Represented high net worth individuals in connection with the purchase and sale of over $500 Million in luxury residential sales in 2016 and 2017.
• Represented developers in connection with acquisition, financing and development of ultra high-end residential properties, multi-family residential properties, office and creative office properties, and commercial and mixed use properties.
• Represented bank lenders, investment funds, mortgage REITS and alternative lenders in connection with the origination of over $750 Million in real estate acquisition and construction loans in 2018 and 2019.
• Acted as a national lender’s local California counsel in a $65 Million refinance of existing debt on a historic winery and vineyard estate.
• Represented an international financial institutional in the negotiation of management agreements and ancillary operating agreements in connection with the Chapter 11 reorganization of a major hotel and casino gaming company.
• Represented a commercial lender in connection with a $24 Million acquisition loan to a leading national developer for an apartment community in Las Vegas, Nevada.
• Represented a national real estate investment firm in connection with the syndication of joint venture interests for property acquisitions nationwide.
• Represented a national developer in connection with the purchase and financing of a 50,000 square foot office/industrial property located in Hawthorne, California.
